Insurance software maker Guidewire (NYSE: GWRE) signed a definitive agreement to acquire London-based hyperexponential (hx) for $1.7 billion in cash, with up to $400 million in contingent consideration tied to recurring revenue targets.
- hx provides an AI-native agentic underwriting and pricing platform for commercial P&C insurers, powering underwriting decisions on more than $75 billion in annual commercial premium globally.
- Guidewire says the deal positions it to define "agentic underwriting," where AI agents assess risk, price it, and make decisions alongside underwriters and actuaries.
- The acquisition is expected to accelerate ARR and revenue growth while staying consistent with Guidewire's long-term margin targets.
