Anthropic's IPO structure gives public shareholders almost no board say

Per TechCrunch (with an S-1 governance chart), Anthropic's IPO will leave public shareholders with almost no say over who sits on its board.
- The Long-Term Benefit Trust (Neil Shah as chair, Ben Bernanke, Richard Fontaine, Christopher Stubbs) holds Class T stock that elects and removes 4 of 7 directors, and trustees appoint trustees
- The 7 cofounders jointly hold a share class giving a majority of them 50.1% of shareholder votes and 3 board seats
- Check: the board's nominating committee can block the trust's pick or remove the "Specified" Class T director without cause, but that decision goes to an employee vote — formalizing the staff leverage that forced OpenAI's board to reinstate Sam Altman in 2023
- Founder control ends by choice 10 years post-listing or automatically when fewer than 3 founders remain; the trust survives until 85% of common shareholders vote it out or it quits with board approval
Investors are buying a company whose control shifts among founders, trustees and employees — a founder split would hand common shareholders more weight than expected.
