Anthropic's S-1 reveals 5 share classes, including one share with 50.1% voting power
fortune · reddit · 2026-10-27
Anthropic's S-1 IPO filing is officially out. Beyond warnings about "catastrophic or existential risks to humanity," the standout is its alphabet soup of stock: classes A, E, F, N and T — two of which consist of a single share each, three carrying no economic rights, and the public only gets to buy Class A.
The most unusual is Class F: a single share held by an LLC owned by the seven co-founders, carrying 50.1% of the vote with no economic rights — letting each co-founder keep a say in the controlling vote even after giving away 98% of their shares. Each co-founder has pledged to donate 80% of their Anthropic equity. Fortune notes the design borrows from Zuckerberg, Elon Musk, and even the New York Times' dual-class playbook.
