Proofpoint to buy Varonis for $6.3B in cash, a 52% premium, closing in 2027

Proofpoint agreed on Oct 15 to acquire data-security firm Varonis for about $6.3B in cash at $49.75/share — a 52% premium to the June 22 close before sale rumors; the deal is expected to close in H1 2027, after which Varonis goes private. Varonis classifies sensitive data and tracks cloud/SaaS access; Proofpoint covers email and human risk and added AI tool monitoring via its Acuvity acquisition. The stated plan: give teams visibility into both what data exists and how people or agents use it. Products, contracts and support stay separate until close.
