His case: Anthropic reportedly confidentially filed an S-1 on June 1, with a public prospectus expected late September and a mid-October listing targeting a $1.5-2 trillion valuation. Under Section 5(c) of the Securities Act, any communication that conditions the market for a contemplated offering can be gun-jumping — intent not required — while Rule 163A's safe harbor only covers ordinary communications more than 30 days before filing.
