Marvell to Acquire Lumentum for AI Optical Connectivity, Closing Expected H1 2028
BenBajarin · x · 2026-11-04
Marvell disclosed its acquisition of optical components maker Lumentum via an SEC Form 425, with CEO Matt Murphy's letter to Lumentum employees laying out the deal rationale:
- Strategic logic: Marvell's strengths in high-performance connectivity, network switching, custom silicon and silicon photonics complement Lumentum's high-performance lasers and advanced optical components. As AI infrastructure moves toward tighter scale-up/scale-in architectures, the combined company aims to build more fully integrated AI connectivity solutions.
- Closing timeline: Expected in the first half of calendar year 2028, subject to shareholder and regulatory approvals; the two companies operate independently until then. Lumentum CEO Michael Hurston and two other Lumentum directors will join Marvell's board after closing.
- Next steps: An all-hands meeting was held the same day to discuss integration planning.
