$4.2M ARR AI startup pitched a "foundational model" — due diligence found GPT-4o and a system prompt

A PE firm's pre-close diligence on an AI company ($4.2M ARR, 40% YoY growth, asking 12x revenue) revealed its "foundational model architecture" was actually GPT-4o, a system prompt, a React frontend, and 600 lines of glue code. The buyer walked.
The author argues wrapper businesses can still be valuable — customers, distribution, data, and embedded software all matter — but buyers must know what they're paying for. He lays out four diligence questions, starting with model dependency: what happens to quality and margins if OpenAI, Anthropic, or Google changes pricing or retires a model.
