Anthropic IPO lists 23 insider unlock dates in year one — with share counts blanked
GaryMarcus · x · 2026-10-27
Gary Marcus amplifies an analysis of Anthropic's S-1 (page 307): the IPO staggers insider share unlocks across 23 windows in the first year — starting day 1, then days 27/48/62/76, a window roughly every two weeks around each earnings report, the standard lockup at day 180, and everything else at day 365.
The catch: how many shares each tranche releases is blank in every row. Combined with Nasdaq's fast-entry rule (Nasdaq-100 inclusion after just 15 trading days), QQQ funds would be forced buyers. Marcus mocks the self-proclaimed "moral" company for allegedly rigging the structure against retirement funds and retail investors, while conceding staggered unlocks themselves are reasonable anti-cliff design.
