Meta filed with the SEC to raise $95B in new equity to fund AI data centers and its superintelligence push: the first $35B comes from underwritten offerings ($22.5B common stock plus $12.5B mandatory convertible preferred), followed by a $60B at-the-market program. Chip suppliers Nvidia, AMD and Broadcom each indicated interest in taking up to $5B of shares. The raise comes as Meta's 2026 capex forecast rose to $135-145B and free cash flow turned negative, despite $97B in operating cash flow over the first three quarters and $82B in cash and securities. Meta says the funds support four 1GW+ superclusters, its Muse agent, and a data center business.
