Meta's non-voting share plan: Zuckerberg would need $850B in new shares to lose control
robleclerc · x · 2026-10-22
Meta plans to follow Google's 2014 playbook: every shareholder gets one non-voting Class C share per share held, effectively a 2-for-1 split — same total value, Zuckerberg's voting control unchanged, effective January 19. Meta says it wants a non-voting currency to fund AI investments, acquisitions, and engineer pay, with capex heading to $135–145B.
Rob Leclerc adds the math: under the current structure, Zuckerberg would need to issue 1.2B new shares ($850B) to lose voting control — so his grip isn't going anywhere.
