According to The Information, Anthropic is preparing a class of stock with supervoting rights for CEO Dario Amodei and other co-founders to ensure the founding team retains control after the IPO. This move is critical as Dario currently holds only about 2% of the company, an exceptionally low figure among tech unicorn founders in recent decades.
Governance Highlights:
- Supervoting Rights: A dual-class structure will secure founder control, balancing the significant dilution caused by massive external fundraising.
- Long-Term Benefit Trust: Established in 2023, members include former Fed Chair Ben Bernanke. The trust can elect a majority of the board via Class T shares, holding oversight power without economic interest.
- Three-Way Balance: The plan aims to create a check-and-balance system among founders (control), the trust (oversight), and ordinary shareholders (capital).
Anthropic is a Public Benefit Corporation (PBC). If the IPO proceeds, it could become the most valuable public benefit company in the US. The IPO may launch as soon as late September.
